1. Acceptance of Terms

By accessing or using Gruplix ("the Service"), operated by Gruplix Inc. ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By accessing or using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

2. Description of Service

Gruplix is a community management platform that allows users to manage groups across multiple messaging platforms including Discord, Telegram, Slack, and WhatsApp. The Service includes features such as:

  • Multi-platform group management from a single dashboard
  • Member analytics and tracking
  • Message scheduling and automation
  • Group monetization capabilities
  • Webhook integrations

We reserve the right to modify, suspend, or discontinue the Service or any part thereof at any time, with or without notice.

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.

4. Subscription and Payments

4.1 Subscription Plans

The Service offers various subscription plans with different features and pricing. Details of available plans and their features are available on our pricing page.

4.2 Billing

By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis. Subscription fees are billed in advance on a monthly or annual basis, depending on your selected billing cycle.

4.3 Refunds

Subscription fees are generally non-refundable except where required by law. We may, at our sole discretion, provide refunds or credits in specific circumstances.

4.4 Price Changes

We reserve the right to change subscription prices. Any price changes will be communicated to you with at least 30 days' notice before taking effect.

5. Platform Integrations

The Service integrates with third-party platforms including Discord, Telegram, Slack, and WhatsApp. By connecting your accounts on these platforms, you:

  • Grant us permission to access and interact with your data on those platforms as necessary to provide the Service
  • Agree to comply with the terms of service of each connected platform
  • Acknowledge that platform availability may be affected by third-party service changes

We are not responsible for actions taken by third-party platforms that may affect your use of the Service.

6. User Content and Conduct

6.1 User Content

You retain ownership of content you create or upload through the Service. By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and display your content solely for the purpose of providing the Service.

6.2 Prohibited Conduct

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Send spam, unsolicited messages, or harassing content
  • Distribute malware or engage in phishing activities
  • Attempt to gain unauthorized access to the Service
  • Use the Service to harm minors in any way
  • Impersonate another person or entity
  • Use the Service for illegal activities
  • Interfere with or disrupt the Service
  • Scrape or collect data without permission

7. Group Monetization

If you use our group monetization features to charge members for access to your groups:

  • You are responsible for setting fair and legal prices
  • You must comply with all applicable tax laws
  • We will process payments through our payment provider (Stripe) and distribute funds according to our policies
  • We may deduct platform fees and payment processing fees from your earnings
  • You are responsible for any disputes with your paying members

8. Intellectual Property

The Service and its original content (excluding user content), features, and functionality are and will remain the exclusive property of Gruplix Inc. and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

Our trademarks and trade dress may not be used in connection with any product or service without prior written consent.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GRUPLIX INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

Our total liability shall not exceed the amount you paid us, if any, during the six (6) months prior to the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless Gruplix Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so through your account settings or by contacting us.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date.

Your continued use of the Service after any changes constitutes acceptance of the new Terms.
